Terms Of Service

These Terms of Service constitute a legally binding agreement between you and Ultra Eco LLC regarding your use of our website and services. Please read these terms carefully before engaging our services.

1. Acceptance of Terms

By accessing or using the Ultra Eco LLC website and services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing our services.

These terms apply to all visitors, users, and others who access or use our services, including but not limited to clients, contractors, and business partners.

2. Services Description

LED Lighting Solutions

Ultra Eco LLC provides LED lighting products and installation services for commercial, residential, industrial, agricultural, sports, and religious facilities across the UAE. Our services include consultation, design, supply, installation, and maintenance of LED lighting systems.

Scope of Work

All projects are subject to individual agreements that define the specific scope of work, timeline, specifications, and pricing. General terms outlined here apply unless specifically modified in individual project agreements.

Service Modifications

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time without prior notice. We are not liable for any modification, suspension, or discontinuance of services.

3. Quotations and Pricing

Quote Validity

All quotations are valid for a period of 30 days from the date of issue, unless otherwise expressly stated in writing. Prices quoted are based on current material costs, exchange rates, and project specifications and are subject to revision prior to written acceptance or contract confirmation, to the extent permitted by applicable laws of the United Arab Emirates.

Currency

Unless otherwise expressly stated, all prices are quoted and payable in United Arab Emirates Dirhams (AED). Any additional charges for international transactions or projects requiring imported materials shall be agreed in writing and included in the relevant quotation or contract, which shall prevail over these standard terms.

Taxes and Fees

All prices are exclusive of applicable Value Added Tax (VAT) and any other taxes, duties, or fees required by UAE law, which shall be payable by the customer. Any additional fees for permits, special equipment, or other project-specific requirements will be communicated in writing and agreed upon by the parties prior to implementation.

4. Warranties and Product Guarantees

Product Warranty

All LED products are sold with manufacturer warranties, which typically range from 3 to 5 years depending on the product line. Warranty terms are provided with each product at the time of sale and cover manufacturing defects under normal use. The warranty period begins from the date the consumer receives the product. This warranty is provided in addition to any rights granted under applicable laws of the United Arab Emirates, and does not limit or exclude mandatory statutory rights.

Installation Warranty

We provide a 1 year warranty on installation workmanship, commencing from the date of project completion or handover to the customer. This warranty covers defects arising from faulty installation under normal use and does not cover damage resulting from misuse, accidents, or unauthorized modifications. This warranty is provided in addition to any rights granted under applicable laws of the United Arab Emirates and does not limit mandatory statutory rights.

Warranty Exclusions

The warranties provided under these Terms do not cover:

  1. Damage resulting from accidents, misuse, or improper use beyond normal operating conditions;
  2. Normal wear and tear;
  3. Modifications, repairs, or alterations carried out by unauthorized personnel;
  4. Events of force majeure, including but not limited to natural disasters, fire, or other unforeseen events beyond the reasonable control of the supplier;
  5. Failure to follow the maintenance or usage guidelines provided with the product. This warranty is provided in addition to any rights granted under the applicable laws of the United Arab Emirates and does not limit mandatory statutory rights.

Warranty Claims

To make a warranty claim, the customer must notify us within the applicable warranty period, providing proof of purchase and a description of the defect. Upon verification of the claim, we will provide repair, replacement, or refund in accordance with the warranty terms and applicable laws of the United Arab Emirates. This warranty is provided in addition to any rights granted under UAE law and does not limit mandatory statutory rights.

5. Limitations of Liability

Service Limitations

While we strive to provide high-quality products and services, we do not guarantee that services will be uninterrupted or error-free. Services are provided on an "as is" basis, to the extent permitted by applicable laws of the United Arab Emirates. Nothing in these Terms shall limit or exclude any mandatory rights provided under UAE law.

Liability Cap

To the maximum extent permitted under the applicable laws of the United Arab Emirates, our total liability for any claims arising from or in connection with our products or services shall not exceed the amount paid by you for the specific product or service giving rise to the claim. This limitation shall not apply to liabilities that cannot be legally limited under UAE law, including but not limited to intentional misconduct, gross negligence, or claims resulting in death or bodily injury.

Indirect Damages

To the maximum extent permitted under the applicable laws of the United Arab Emirates, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses arising from or in connection with your use of our products or services. This limitation shall not apply to liabilities that cannot be legally excluded under UAE law, including but not limited to intentional misconduct, gross negligence, or claims resulting in death or bodily injury.

Third-Party Products

For products manufactured by third parties, our liability shall be limited to assisting the customer in facilitating warranty claims with the manufacturer. We shall not be liable for defects in third-party products beyond the scope of our installation work, to the extent permitted by applicable laws of the United Arab Emirates. This limitation does not affect any mandatory rights provided under UAE law, including rights arising from gross negligence, intentional misconduct, or claims resulting in death or bodily injury.

6. Project Terms and Conditions

Site Access

The client shall provide safe and timely access to the installation site during the agreed business hours or as otherwise scheduled in writing. Any delays caused by failure to provide access may result in schedule changes and additional charges, which shall be communicated in writing and agreed upon by the parties. The client shall be responsible for ensuring that the site is safe for our personnel to perform the work.

Site Preparation

The client shall ensure that the site is properly prepared for installation, including but not limited to adequate electrical infrastructure, structural support, and clear access in accordance with applicable standards. Any additional costs incurred due to site preparation requirements or deficiencies shall be communicated in writing and agreed upon by the parties prior to commencement of work. The client shall be responsible for any delays, damages, or additional costs resulting from an unprepared site.

Project Timeline

Project timelines provided are estimates and may be affected by factors beyond our reasonable control, including but not limited to material availability, weather conditions, and site conditions. We shall not be liable for delays caused by such factors, to the extent permitted under the applicable laws of the United Arab Emirates. Any changes to the timeline will be communicated promptly to the client in writing.

Change Orders

Any changes to the agreed scope of work must be documented in writing and approved by both parties prior to implementation. Such changes may result in adjustments to the project timeline and/or additional charges, which shall be agreed upon in writing. All changes shall be executed in accordance with the applicable laws of the United Arab Emirates.

Final Acceptance

Upon project completion, the client shall conduct a walk-through inspection. Any visible issues must be reported within seven (7) days of the inspection. Acceptance of the project shall be deemed final after this period or upon final payment, whichever occurs first. This clause does not affect any rights of the client under applicable laws of the United Arab Emirates, including rights relating to latent defects or statutory warranties.

7. Intellectual Property

Website Content

All content on the Ultra Eco LLC website, including but not limited to text, graphics, logos, images, and software, is the property of Ultra Eco LLC or is used under license. Such content is protected under UAE Federal Decree-Law No. 38 of 2021 on Copyrights and Related Rights and applicable international copyright laws. Users may not copy, reproduce, distribute, or create derivative works from the content without our prior written consent.

Design Documents

All lighting designs, technical drawings, and project specifications created by Ultra Eco LLC are and remain the intellectual property of Ultra Eco LLC, protected under UAE Federal Decree-Law No. 38 of 2021 on Copyrights and Related Rights. Clients are granted a limited, non-transferable license to use these documents solely for the specific project for which they were provided. Any reproduction, distribution, or use for other projects or commercial purposes is strictly prohibited without our prior written consent.

Restrictions

Users may not reproduce, distribute, modify, or create derivative works from Ultra Eco LLC's content, including website content, designs, technical documents, graphics, logos, images, or software, without our prior written consent. All such content is protected under UAE Federal Decree-Law No. 38 of 2021 on Copyrights and Related Rights and applicable international copyright laws. Unauthorized use may result in civil and/or criminal legal action.

8. Client Obligations

Accurate Information

The client agrees to provide accurate, complete, and up-to-date information when requesting quotes, placing orders, or communicating with Ultra Eco LLC. Any inaccurate or incomplete information may result in delays, additional costs, or other impacts on the project. The client shall be responsible for any such consequences, in accordance with applicable laws of the United Arab Emirates.

Timely Communication

The client agrees to respond to requests for information, approvals, and decisions within reasonable timeframes as communicated in writing during the project. Delays caused by failure to provide timely responses may result in adjustments to the project schedule and/or additional costs. This obligation is in accordance with applicable laws of the United Arab Emirates.

Compliance

The client is responsible for ensuring that the project complies with all applicable local regulations, building codes, and for obtaining all necessary permits, unless otherwise agreed in writing. This includes, but is not limited to, municipal approvals and regulatory authorizations required under the laws of the United Arab Emirates. Ultra Eco LLC shall not be liable for any delays, fines, or additional costs resulting from non-compliance by the client.

Payment Obligations

The client agrees to make all payments in accordance with the agreed payment terms. Late payments may incur interest or late fees as specified in the contract and may result in suspension of project work until such payments are made. All payment obligations are subject to applicable laws of the United Arab Emirates.

9. Cancellation and Termination

Cancellation by Client

The client may cancel the project prior to commencement of work by providing written notice. If a deposit has been paid, 25% of the deposit shall be forfeited to cover reasonable administrative costs. For cancellations after materials have been ordered or work has commenced, the client shall be responsible for payment of work performed and materials purchased up to the date of cancellation, based on reasonable and documented costs. These cancellation terms are subject to applicable laws of the United Arab Emirates.

Termination by Ultra Eco

Ultra Eco LLC reserves the right to terminate services, with written notice to the client, under the following circumstances:

  1. The client breaches the agreed payment terms.
  2. The client provides false or misleading information.
  3. Site conditions are deemed unsafe for personnel or equipment.
  4. The client behaves abusively or threatens the safety of staff.
  5. The project becomes illegal or violates applicable laws or regulations of the United Arab Emirates. Termination shall be executed in accordance with the applicable laws of the UAE, and Ultra Eco LLC shall not be liable for any losses resulting from such termination, provided it is made in good faith and as per the terms above.

Refund Policy

Refunds for cancelled projects shall be calculated based on the reasonable and documented costs of work completed, materials ordered, and other expenses incurred up to the date of cancellation. Deposits shall be non-refundable once work has commenced. Refunds will be processed within 30 days of written cancellation approval. This policy is subject to applicable laws of the United Arab Emirates.

10. Safety and Compliance

Safety Standards

All installations shall comply with applicable UAE electrical safety standards and regulations, including requirements set by local authorities. Ultra Eco LLC follows industry best practices for the safe installation and operation of LED lighting systems. Compliance assumes that the site meets required conditions and that the client adheres to applicable regulations. Ultra Eco LLC shall not be liable for any safety issues arising from client-provided non-compliant site conditions.

Certifications

Our products meet international quality standards, including CE, RoHS, and other applicable certifications. These products are also compliant with relevant UAE regulations and standards set by the Emirates Authority for Standardization and Metrology (ESMA) or other relevant local bodies. Certification documents are available upon request and will be provided within a reasonable timeframe.

Client Safety

The client is responsible for ensuring that the installation site complies with applicable safety standards, including those outlined in UAE Federal Decree-Law No. 33 of 2021 on Labor Relations and relevant Occupational Health and Safety (OHS) regulations. Ultra Eco LLC reserves the right to pause work if safety conditions are deemed inadequate, including but not limited to lack of proper safety equipment or unsafe working conditions. Work will only resume once conditions are deemed safe, in accordance with UAE law.

11. Dispute Resolution

Negotiation

In the event of any dispute between the parties, both parties agree to first attempt resolution through good-faith negotiation. The party raising the dispute shall submit the issues in writing, providing specific details. Both parties will have 30 days from receipt of the written notice to attempt to resolve the dispute. If the dispute cannot be resolved within this period, the parties may proceed to alternative dispute resolution methods, such as mediation or arbitration, as per the applicable laws of the United Arab Emirates.

Mediation

If negotiations between the parties do not result in an amicable resolution, the parties may, by mutual agreement, attempt to resolve the dispute through mediation before initiating legal proceedings, to the extent permitted by applicable laws of the United Arab Emirates. Unless otherwise agreed in writing, the costs of mediation shall be shared equally between the parties.

Jurisdiction

These Terms of Service shall be governed by and construed in accordance with the laws of the United Arab Emirates. Subject to applicable UAE laws, the courts of the United Arab Emirates shall have jurisdiction to hear and determine any disputes arising out of or in connection with these Terms of Service.

Language

These Terms and Conditions are drafted and executed in the English language. Any translation into another language is provided for convenience only. In the event of any conflict or inconsistency, the English version shall prevail, to the extent permitted by applicable laws of the United Arab Emirates.

12. Force Majeure

Neither party shall be liable for failure to perform obligations under this agreement due to circumstances beyond its reasonable control, including but not limited to natural disasters, war, terrorism, government actions, epidemics, strikes, material shortages, or utility failures. In the event of a force majeure situation, the affected party must notify the other party in writing within 30 days of the occurrence of the event. The affected party shall also take reasonable steps to mitigate the effects of the event. If the force majeure event continues for more than 90 days, either party may terminate the agreement without further liability.

In the event of a force majeure situation, the affected party must notify the other party in writing within 30 business days of the occurrence of the event. During the force majeure event, both parties' obligations under this agreement will be suspended, and timelines for performance will be extended accordingly. If the force majeure event persists for more than 90 days, either party may terminate the contract by providing written notice. The termination will be effective immediately upon receipt of such notice, and neither party shall be liable for any damages arising from such termination, provided that the force majeure event is documented.

13. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary, confidential, or sensitive information exchanged during the course of their business relationship. This includes but is not limited to project details, pricing information, technical specifications, business strategies, and any other information designated as confidential. This obligation of confidentiality shall remain in effect for a period of 30 days after the termination of this agreement. Disclosure of such information is permitted only with the prior written consent of the disclosing party or where required by law, regulation, or court order. Any breach of this confidentiality obligation may result in legal action and the liable party may be required to compensate for any resulting damages.

The confidentiality obligations set forth in this agreement shall survive the termination of the contract and continue for a period of 3 years thereafter. Exceptions to these obligations include information that:

  1. Is publicly available or becomes publicly available through no fault of the receiving party;
  2. Was known to the receiving party prior to disclosure, as evidenced by written records;
  3. Is required to be disclosed by law, regulation, court order, or governmental authority. Any breach of confidentiality may result in legal action, and the offending party may be liable for damages arising from such breach.

14. Marketing and Testimonials

Unless you explicitly object in writing within 30 business days of receiving this notice, you consent to the use of your project as a case study in our marketing materials, including photographs, project descriptions, and client testimonials. We will take all reasonable measures to respect your privacy and ensure that sensitive business information, as defined below, is not disclosed. Sensitive business information includes, but is not limited to, proprietary data, financial records, and any information specifically designated as confidential by you. If you have any concerns, please inform us in writing within the specified timeframe.

You may request the removal of specific project information, including but not limited to photographs, descriptions, or client testimonials, from our marketing materials by contacting us in writing. We will review and process such requests within 30 calendar days. To facilitate this process, please specify the exact information you wish to be removed and provide any relevant details. We will comply with such requests unless required to retain the information under applicable laws or regulations.

15. Changes to Terms

We reserve the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting on our website unless otherwise stated. By continuing to use our services after any such changes, you accept and agree to the modified terms.


For material changes, we will make reasonable efforts to notify existing clients by email or via a prominent notice on our website. Material changes include, but are not limited to, changes to pricing, key service terms, or policies. We recommend that you periodically review these Terms to stay informed of any updates.


If you do not agree with the updated Terms, you may discontinue the use of our services. This clause is in compliance with UAE Federal Law No. 15 of 2020 on Consumer Protection and UAE Civil Code.

16. Severability

If any provision of these Terms of Service is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction under the laws of the United Arab Emirates, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, in accordance with UAE law. If modification is not possible, the provision shall be severed from these Terms, and the remaining provisions shall continue in full force and effect, provided that the invalidity or unenforceability of any provision does not contravene public policy or good morals.

17. Entire Agreement

These Terms of Service, together with our Privacy Policy and any specific project agreements, constitute the entire agreement between you and Ultra Eco LLC regarding the use of our services and supersede all prior agreements, communications, and understandings, whether oral or written. This agreement is governed by the laws of the United Arab Emirates. Any modifications or amendments to these Terms must be made in writing and signed by both parties.
